1. Acceptance & Eligibility
By purchasing, accessing, or using the Aoraki device and its associated services, you agree to these Terms. You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase or operate an Aoraki device.
2. Description of Service
Aoraki is a pre-configured hardware device that runs a local AI agent stack (OpenClaw). It includes on-device AI inference, intelligent cloud routing to third-party model providers, local data persistence, and a browser-based management dashboard. Optional cloud routing services may require API keys from third-party providers or an Aoraki routing subscription.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and API keys stored on your device. You agree to provide accurate information and to notify us immediately of any unauthorized access to your account.
4. License Grant & Restrictions
We grant you a limited, non-exclusive, non-transferable license to use the Aoraki firmware and software on your purchased device. You may not:
- Reverse engineer, decompile, or disassemble the firmware (except as permitted by law)
- Modify the firmware in ways that circumvent security or licensing mechanisms
- Redistribute, sublicense, or resell the software separately from the hardware
- Use the device to operate a commercial AI inference service for third parties
The OpenClaw agent stack included on the device is open-source software governed by its own license terms, available at the Open Source page.
5. AI Service Disclaimers
AI outputs are non-deterministic. Aoraki may produce inaccurate, incomplete, or inappropriate responses. You are responsible for reviewing and verifying all AI-generated content before acting on it.
Aoraki is not a substitute for professional medical, legal, financial, or other expert advice. Do not rely on AI agent outputs for decisions that require professional judgment.
We do not guarantee the accuracy, reliability, or availability of any AI model — local or cloud-based. Model capabilities may change as providers update their services.
6. User Content & Data
You retain full ownership of all content you create, store, or process on your Aoraki device. We do not access, collect, or claim any rights to your on-device data.
When you voluntarily submit feedback, feature requests, or bug reports to us, you grant us a non-exclusive, royalty-free license to use that feedback for product improvement.
7. Prohibited Conduct
You agree not to use Aoraki to:
- Violate any applicable law or regulation
- Generate content that is illegal, harmful, threatening, abusive, or harassing
- Circumvent third-party terms of service via automated agent actions
- Attempt to gain unauthorized access to systems, networks, or accounts
- Interfere with or disrupt the Aoraki cloud routing service
- Use the device to conduct denial-of-service attacks or spam
8. Third-Party Services
Aoraki routes tasks to third-party AI model providers (OpenAI, Anthropic, Google, Mistral, and others). These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services. You are responsible for complying with their terms when using their models through Aoraki.
9. Intellectual Property
The Aoraki name, brand, hardware design, firmware (excluding open-source components), cloud routing platform, and documentation are the intellectual property of Aoraki Technologies. These Terms do not grant you any rights to our trademarks, trade dress, or proprietary technology beyond the limited license in Section 4.
10. Pricing, Subscriptions & Billing
Hardware: One-time purchase at the listed price. No recurring fees required for local functionality.
Cloud routing (optional): If you use the Aoraki managed routing service (instead of your own API keys), subscription pricing, billing cycles, and cancellation terms will be displayed at the time of enrollment. We may change pricing with 30 days' notice.
11. Warranty Disclaimer
The Aoraki software, firmware, and AI services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Hardware warranty is governed separately by the Limited Hardware Warranty.
12. Limited Hardware Warranty
Aoraki Technologies warrants the Aoraki hardware device against manufacturing defects for one (1) year from the date of delivery.
Covered: Defects in materials and workmanship under normal use.
Not covered:
- Physical damage (drops, liquid, crushing)
- Damage from unauthorized modification, jailbreaking, or firmware tampering
- Normal wear and tear
- Damage from power surges or improper power supply
- Cosmetic damage that does not affect functionality
Remedy: At our discretion, we will repair or replace the defective unit. Contact support@aoraki.xyz to initiate a warranty claim.
13. Pre-Orders, Returns & Refunds
Pre-orders are subject to product availability. Either party — you or Aoraki Technologies — may cancel a pre-order at any time before the product ships, for any reason or no reason, with a full refund of the amount paid.
Pre-Order Terms:
- A pre-order is a reservation, not a guarantee of delivery. Product availability, specifications, pricing, and ship dates are subject to change.
- Your right to cancel: You may cancel your pre-order at any time before the device ships and receive a full refund, no questions asked. Contact support@aoraki.xyz or use the cancellation link in your order confirmation email.
- Our right to cancel: Aoraki Technologies reserves the right to cancel any pre-order at any time before shipment — including for reasons of product availability, production delays, pricing changes, regulatory requirements, or business decisions. If we cancel your pre-order, you will receive a full refund of the amount paid within 7 business days.
- No interest or compensation: Refunds for cancelled pre-orders are limited to the amount paid. No interest, damages, or additional compensation will be owed by either party upon cancellation.
- Delay notifications: In compliance with the FTC Mail/Internet Order Rule, if we are unable to ship by the stated date, we will notify you of the revised ship date and your right to cancel for a full refund.
Post-Delivery Returns:
30-day money-back guarantee. If you are not satisfied with your Aoraki device, return it within 30 days of delivery for a full refund. The device must be in original condition with all included accessories. We cover return shipping within the continental United States.
EU/UK customers: You have a statutory 14-day right of withdrawal from the date of delivery, in addition to our 30-day guarantee.
Refund method: All refunds are issued to the original payment method within 7-10 business days of cancellation (pre-orders) or receipt of returned device (post-delivery returns).
14. Limitation of Liability
To the maximum extent permitted by law, Aoraki Technologies' total liability for any claim arising from or related to the device or services is limited to the amount you paid for the device.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption — even if we were advised of the possibility.
This limitation applies to claims based on warranty, contract, tort, or any other legal theory.
15. Indemnification
You agree to indemnify and hold harmless Aoraki Technologies from any claims, damages, or expenses arising from your use of the device, your violation of these Terms, or your violation of any third-party rights.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute arising from these Terms will be resolved through binding arbitration administered by JAMS, conducted individually (not as a class action). You may opt out of arbitration by notifying us in writing within 30 days of your purchase.
Class action waiver: You agree to resolve disputes individually and waive any right to participate in class-action lawsuits or class-wide arbitration.
17. Export Controls
The Aoraki device and software may be subject to U.S. export control laws (EAR). You agree not to export, re-export, or transfer the device to any country, entity, or person prohibited by applicable export laws.
18. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email and posted on our website at least 30 days before taking effect. Continued use of the device or services after changes take effect constitutes acceptance.
